MenoMinds Membership Terms of Service

1. Definitions and Introduction

1.1 These Membership Terms & Conditions ("Terms") govern your purchase of, access to and use of the MenoMinds membership community, website, member resources, events and associated services ("Services").

1.2 These Terms constitute a legally binding agreement between MenoMinds ("we", "our" or "us") and the individual purchasing or accessing a membership ("you" or "Member").

1.3 By purchasing a membership, creating a member account or accessing any part of the MenoMinds Community, you confirm that you have read, understood and agree to be bound by these Terms.

Together, these documents form the complete agreement between you and MenoMinds and govern your membership at all times.

1.5 The latest versions of these Terms and the documents referred to above will always be available on the MenoMinds website. By continuing your membership after any updated versions take effect, you agree to be bound by the current versions.

1.6 If you do not agree with these Terms or any of the documents referred to above, you must not purchase, access or continue to use a MenoMinds membership.

1.7 In these Terms, unless the context requires otherwise:

"Community" means the private online MenoMinds membership platform and any associated online spaces operated by MenoMinds.

"Content" means all videos, recordings, live events, webinars, workshops, downloadable resources, documents, templates, graphics, written materials, audio content, images, discussions and other materials made available by MenoMinds.

"Member" means any individual who has purchased or been granted access to the MenoMinds Community.

"Membership" means the subscription or access plan purchased by the Member

"Services" means all products, services, events, resources, educational materials and community features provided by MenoMinds as part of a Membership.

"Website" means the official MenoMinds website together with any associated webpages operated by MenoMinds.

1.8 Headings are included for convenience only and shall not affect the interpretation of these Terms.

1.9 If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions shall remain in full force and effect.

2. Membership and Eligibility

2.1 MenoMinds is an online membership community created specifically for biological females seeking education, support and connection in relation to menopause and women's health.

2.2 Membership is available to individuals aged 18 years or over who meet the eligibility requirements for membership.

2.3 By applying for membership, you confirm that:

• You are at least 18 years of age.

• You are a biological female.

• All information you provide during registration is accurate, complete and not misleading.

• You will promptly update your account details if any of your information changes.

2.4 MenoMinds reserves the right, at its sole discretion, to refuse any application for membership or to suspend or terminate membership where eligibility requirements are not met or where information provided during registration is found to be false or misleading.

2.5 Membership is granted solely to the individual whose name appears on the account and is personal to that individual.

2.6 Membership may not be shared, transferred, assigned, resold or otherwise made available to any other person without the prior written consent of MenoMinds.

2.7 You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out using your account. If you become aware of any unauthorised use of your account, you must notify MenoMinds as soon as reasonably practicable.

2.8 Membership provides access only to the Services included within your selected membership plan. From time to time, MenoMinds may introduce, amend, remove or replace features, resources, events or other membership benefits in order to improve the Community or reflect the changing needs of members.

2.9 Unless otherwise stated, membership does not include any products, services, events or programmes that are advertised separately or require an additional fee.

2.10 We reserve the right to limit the number of memberships available, temporarily close membership applications or introduce waiting lists where necessary.

2.11 Membership remains active until cancelled by you or terminated by MenoMinds in accordance with these Terms.

3. Registration, Payments and Renewals

3.1 To become a Member, you must complete the registration process and provide all information requested during sign-up.

3.2 By registering for Membership, you warrant that all information you provide is accurate, complete and current. You agree to update your information promptly should any of your details change.

3.3 Your Membership will commence once your registration has been accepted and your initial payment has been successfully processed.

3.4 MenoMinds reserves the right, at its absolute discretion, to refuse any application for Membership without providing a reason where this is necessary to protect the integrity, safety or operation of the Community.

3.5 Membership fees are payable in advance at the frequency selected when you purchase your Membership.

3.6 All Membership fees are stated in Pounds Sterling (£) unless otherwise specified.

3.7 Payments are securely processed by our authorised third-party payment provider. MenoMinds does not store your full payment card details.

3.8 By purchasing a Membership, you authorise the payment provider to collect recurring subscription payments using your chosen payment method until your Membership is cancelled in accordance with these Terms.

3.9 Your Membership will automatically renew at the end of each billing period unless you cancel before your next renewal date.

3.10 It is your responsibility to ensure that your payment details remain valid and up to date throughout your Membership.

3.11 If a payment cannot be successfully processed for any reason, MenoMinds reserves the right to:

• Retry the payment.

• Suspend access to the Community until payment has been received.

• Restrict access to member resources or events.

• Terminate Membership where payment remains outstanding.

3.12 Outstanding Membership fees remain payable even where access has been suspended due to failed payment attempts.


3.13 MenoMinds reserves the right to change Membership fees at any time. Any changes will not affect your current billing period, and reasonable notice will be provided before revised pricing takes effect.

3.14 From time to time, MenoMinds may offer promotional pricing, discounts or special offers. Such offers apply only for the period stated and do not create any entitlement to future discounted pricing.
3.15 Unless expressly stated otherwise, Membership fees are non-refundable and are subject to the MenoMinds Refund & Cancellation Policy.

3.16 You are responsible for any taxes, duties or charges applicable to your Membership where these are required by law.

3.17 MenoMinds may suspend or withdraw the availability of any Membership plan, introduce new Membership options or amend the features included within existing Membership plans at any time. Where changes materially affect existing Members, reasonable notice will be provided wherever practicable.


4. Community Rules and Member Responsibilities

4.1 MenoMinds is committed to providing a welcoming, supportive and respectful community where Members can learn, share experiences and connect with others in a safe environment.

4.2 By participating in the Community, you agree to conduct yourself in a respectful and considerate manner at all times.

4.3 You agree to comply with these Terms, the Community Guidelines and any reasonable instructions issued by MenoMinds or its moderators.

4.4 You are solely responsible for all content you publish, upload, comment on or otherwise share within the Community.

4.5 You agree that you will not:

• Bully, harass, intimidate or threaten another Member.

• Use abusive, offensive, hateful, discriminatory or defamatory language.

• Deliberately provoke arguments or disrupt discussions.

• Post content that is unlawful, misleading or fraudulent.

• Share another person's personal information without their consent.

• Upload content that infringes another person's copyright, trademark or other legal rights.

• Use the Community to advertise, promote or sell products or services without the prior written permission of MenoMinds.

• Send unsolicited marketing or promotional messages to other Members.

• Attempt to recruit Members into other organisations, groups or programmes for commercial purposes.

• Impersonate another person or misrepresent your identity.

• Attempt to gain unauthorised access to any part of the Community, website or related systems.

• Introduce viruses, malicious software or any technology intended to interfere with the operation of the Community.


4.6 MenoMinds encourages Members to share their personal experiences and support one another. However, Members must not:

• Present personal opinions as established medical fact.

• Diagnose another Member.

• Recommend that another Member starts, stops or changes prescribed medication.

• Discourage another Member from seeking appropriate medical advice.

4.7 Members are responsible for deciding what personal information they choose to share within the Community. While MenoMinds encourages all Members to respect confidentiality, information shared within an online community can never be guaranteed to remain private.

4.8 Members agree to respect the privacy of others by not copying, downloading, recording, photographing or sharing Community discussions, posts, comments or member information outside the Community without the express permission of the individual concerned.

4.9 Members must not copy, reproduce, distribute or share Member-only resources, recordings or other Content except where expressly permitted by MenoMinds.

4.10 MenoMinds reserves the right to monitor Community activity for the purposes of safeguarding Members, maintaining Community standards and ensuring compliance with these Terms.

4.11 Where MenoMinds reasonably believes that a Member has breached these Terms or the Community Guidelines, we may, at our sole discretion:

• Remove or edit content.

• Restrict access to specific areas of the Community.

• Issue a warning.

• Temporarily suspend Membership.

• Permanently terminate Membership.

These actions may be taken without prior notice where necessary to protect the safety, wellbeing or integrity of the Community.

4.12 Moderation decisions are made in good faith and with the aim of maintaining a safe, respectful and supportive environment for all Members. While Members are welcome to raise concerns or seek clarification, all moderation decisions made by MenoMinds shall be final.

4.13 Members are encouraged to report behaviour that they believe breaches these Terms or the Community Guidelines. Reports will be considered confidentially wherever reasonably possible.

4.14 MenoMinds is not responsible for the opinions, comments or advice shared by individual Members. Views expressed by Members are their own and do not necessarily represent those of MenoMinds, Victoria, Haley, guest speakers or moderators.

4.15 By participating in the Community, you acknowledge that respectful discussion and differing viewpoints may arise. Members are expected to engage in such discussions with courtesy, empathy and mutual respect at all times.

5. Intellectual Property

5.1 Unless otherwise stated, all Content made available through MenoMinds remains the property of MenoMinds or its licensors and is protected by copyright, trademark and other applicable intellectual property laws.

5.2 For the purposes of these Terms, "Content" includes, but is not limited to:

• Live workshops

• Webinars

• Guest speaker sessions

• Question and answer sessions

• Networking events

• Video recordings

• Audio recordings

• Downloadable resources

• Worksheets

• Templates

• Documents

• Guides

• Graphics

• Images

• Logos

• Written content

• Emails

• Community posts created by MenoMinds

• Any other educational or digital materials provided as part of your Membership.

5.3 Your Membership grants you a limited, non-exclusive, non-transferable and revocable licence to access and use MenoMinds Content solely for your own personal, non-commercial learning and development.

5.4 Nothing within these Terms transfers ownership of any intellectual property rights from MenoMinds to you.

5.5 Unless expressly authorised in writing by MenoMinds, you must not:

• Copy, reproduce or duplicate any Content.

• Download, distribute or share Member-only resources.

• Upload MenoMinds Content to another website, platform or online community.

• Sell, licence or commercially exploit any MenoMinds Content.

• Modify, adapt or create derivative works from MenoMinds Content.

• Remove or alter any copyright notice, trademark or branding.

• Use the MenoMinds name, logo or branding in a way that suggests endorsement or affiliation.


5.6 Members must not record, photograph, screen record, livestream or otherwise reproduce any live workshop, webinar, networking event, question and answer session or other live event without the prior written permission of MenoMinds.

5.7 Where recordings of live events are made available by MenoMinds as part of Membership, those recordings are provided solely for the personal use of Members and must not be copied, downloaded, redistributed or shared with any third party.

5.8 Members retain ownership of the original content they create and post within the Community.

5.9 By submitting content within the Community, you grant MenoMinds a worldwide, non-exclusive, royalty-free licence to use, reproduce, display and distribute that content solely for the purposes of operating, administering, improving and promoting the Community and its Services.

5.10 You warrant that any content you upload:

• Belongs to you or you have permission to share it.

• Does not infringe the intellectual property rights of any third party.

• Does not breach any applicable law.

5.11 If MenoMinds reasonably believes that any content infringes another person's intellectual property rights or otherwise breaches these Terms, we reserve the right to remove that content without prior notice.

5.12 The provisions of this section shall continue to apply after your Membership has ended or been terminated.

6. Privacy and Data Protection

6.1 MenoMinds is committed to protecting your privacy and handling your personal information fairly, lawfully and transparently.

6.2 We collect, use, store and process personal information in accordance with applicable UK data protection legislation, including the UK General Data Protection Regulation (UK GDPR), the Data Protection Act 2018 and any other applicable data protection laws.

6.3 By registering for Membership, you acknowledge that MenoMinds will collect and process personal information necessary to administer your Membership and provide the Services.

6.4 The personal information we collect may include, but is not limited to:

• Your name.

• Email address.

• Billing information.

• Membership details.

• Profile information you choose to provide.

• Community activity.

• Event registrations and attendance.

• Communications with MenoMinds.

• Technical information relating to your use of the Website and Community.

6.5 We use your personal information for purposes including:

• Creating and managing your Membership.

• Providing access to the Community and Services.

• Processing payments.

• Delivering workshops, webinars and events.

• Providing customer support.

• Communicating important information relating to your Membership.

• Improving our Services and Member experience.

• Meeting our legal and regulatory obligations.

6.6 Where you have given your consent, we may also send you newsletters, updates and information about future events, services or other opportunities offered by MenoMinds. You may withdraw your consent or unsubscribe from marketing communications at any time.

6.7 MenoMinds does not sell, rent or trade your personal information to third parties.

6.8 We may share your personal information with trusted third-party service providers where this is necessary to deliver our Services. These providers may include, but are not limited to.

• Our online membership platform.

• Our payment processor.

• Our email marketing provider.

• Video conferencing providers.

• Website hosting providers.

• Professional advisers where required by law or for the legitimate operation of our business.

6.9 We take appropriate technical and organisational measures to protect your personal information against unauthorised access, loss, misuse, alteration or disclosure. However, no online service can guarantee absolute security, and you acknowledge that information transmitted over the internet is done so at your own risk.

6.10 You are responsible for deciding what personal information you choose to share within the Community. Information you voluntarily post may be visible to other Members. While Members are expected to respect confidentiality in accordance with the Community Guidelines, MenoMinds cannot guarantee that other Members will always comply with those obligations.

6.11 MenoMinds will retain your personal information only for as long as reasonably necessary to:

• Provide the Services.

• Comply with legal and regulatory obligations.

• Resolve disputes.

• Enforce these Terms.

When information is no longer required, it will be securely deleted or anonymised where appropriate.

6.12 Subject to applicable law, you may have the right to:

• Request access to your personal information.

• Request correction of inaccurate information.

• Request deletion of your personal information.

• Request restriction of processing.

• Object to certain types of processing.

• Request a copy of your personal information in a portable format.

• Withdraw consent where processing is based upon consent.

6.13 Full details of how MenoMinds collects, uses, stores and protects personal information are contained within our Privacy Policy, which forms part of these Terms.

6.14 By accepting these Terms, you acknowledge that you have read and understood the MenoMinds Privacy Policy.

7. Medical Disclaimer and Limitation of Liability

7.1 MenoMinds provides education, information, resources and peer support relating to menopause and women's health.

7.2 The information made available through the Community, Website, workshops, webinars, live events, recordings, downloadable resources, guest speakers and any other Services is provided for educational and informational purposes only.

7.3 Nothing provided by MenoMinds constitutes, or is intended to constitute, medical advice, diagnosis, treatment or healthcare services.

7.4 No content published or shared by MenoMinds, its founders, moderators, guest speakers or Members should be relied upon as a substitute for professional medical advice, diagnosis or treatment.

7.5 Every individual experiences menopause and related health conditions differently. Information that may be suitable for one individual may not be appropriate for another.

7.6 You should always seek advice from your GP or another appropriately qualified healthcare professional regarding your individual circumstances before making decisions relating to your health, medication or treatment.

7.7 Members are welcome to share their own experiences within the Community. However, opinions expressed by Members represent their personal views only and do not necessarily reflect the views of MenoMinds.

7.8 Members must not rely upon advice, recommendations or experiences shared by other Members as professional medical advice.

7.9 The MenoMinds Community is not intended to provide emergency assistance. If you believe you are experiencing a medical emergency, you should immediately contact the appropriate emergency services or seek urgent medical attention.

7.10 While MenoMinds endeavours to ensure that all educational content is evidence-informed and accurate at the time it is published, medical knowledge and clinical guidance continue to evolve. Accordingly, MenoMinds does not warrant or guarantee that all information will always be complete, accurate, current or applicable to your individual circumstances.

7.11 Your participation in the Community and your use of the Services is entirely voluntary. You remain solely responsible for all decisions you make concerning your health, wellbeing and personal circumstances.

7.12 To the fullest extent permitted by law, MenoMinds accepts no responsibility or liability for any loss, injury, illness, damage or claim arising directly or indirectly from:

• Your reliance upon information provided through the Services.

• Information or opinions shared by other Members.

• Decisions you make regarding your health or treatment.

• Your participation in Community discussions, events or activities.


7.13 Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for:

• Death or personal injury caused by negligence.

• Fraud or fraudulent misrepresentation.

• Any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.

7.14 MenoMinds shall not be liable for any indirect, incidental, consequential or special loss, including but not limited to loss of income, loss of earnings, loss of business, loss of opportunity, loss of goodwill or loss of data arising from your Membership or use of the Services.

7.15 Where liability cannot lawfully be excluded but may be limited, MenoMinds' total liability arising out of or in connection with your Membership or these Terms shall not exceed the total Membership fees paid by you during the twelve (12) months immediately preceding the event giving rise to the claim.

7.16 The provisions of this section shall survive the cancellation, expiry or termination of your Membership.

8. Cancellation, Suspension and Termination

8.1 You may cancel your Membership at any time through your account or by contacting MenoMinds using the contact details provided on our Website.

8.2 Cancellation will prevent future subscription payments from being collected. Unless otherwise required by law, cancellation will not entitle you to a refund for the current billing period, and your access to the Community will continue until the end of the period you have already paid for.

8.3 Refunds are governed by the MenoMinds Refund & Cancellation Policy, which forms part of these Terms.

8.4 MenoMinds reserves the right to suspend or restrict access to the Community where:

• Payment cannot be successfully collected.

• We reasonably believe these Terms or the Community Guidelines have been breached.

• We are investigating conduct that may place the Community or its Members at risk.

• We are required to do so by law.

8.5 During any period of suspension, access to all or part of the Services may be restricted without affecting our other rights under these Terms.

8.6 MenoMinds reserves the right to terminate your Membership immediately, without prior notice, where we reasonably believe that you have:

• Seriously or repeatedly breached these Terms.

• Seriously or repeatedly breached the Community Guidelines.

• Provided false or misleading information during registration.

• Shared your Membership with another person.

• Infringed the intellectual property rights of MenoMinds or a third party.

• Engaged in unlawful, abusive, threatening, discriminatory or fraudulent behaviour.

• Acted in a manner that places another Member, moderator, guest speaker or the Community at risk.

• Used the Community in a way that may damage the reputation, integrity or operation of MenoMinds.

8.7 Where reasonably practicable, MenoMinds may issue a warning or seek to resolve concerns before suspending or terminating Membership. However, we are under no obligation to do so where immediate action is considered necessary to protect Members or the Community.

8.8 Unless required by law, termination of Membership by MenoMinds under this section will not entitle you to any refund of Membership fees already paid.

8.9 Upon cancellation or termination of your Membership.

• Your right to access the Community and Member-only Content will end.

• Your licence to use Member-only Content will immediately cease.

• Any provisions of these Terms which are intended to survive termination shall continue in full force and effect.

9. General Legal Terms

9.1 MenoMinds may amend these Terms from time to time to reflect changes in our Services, legal requirements or the operation of the Community. Where significant changes are made, reasonable notice will be provided before the updated Terms take effect.

9.2 MenoMinds may amend, suspend, replace or discontinue any part of the Services where reasonably necessary for operational, legal or business reasons.

9.3 MenoMinds shall not be liable for any delay or failure to perform its obligations where such delay or failure results from circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, pandemics, industrial disputes, government action, internet outages, cyber attacks, power failures or failures of third-party service providers.

9.4 If any provision of these Terms is held by a court or competent authority to be invalid, unlawful or unenforceable, the remaining provisions shall remain in full force and effect.

9.5 Any failure by MenoMinds to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other rights available to us.

9.6 You may not assign, transfer or otherwise dispose of your Membership or any rights arising under these Terms without the prior written consent of MenoMinds.

9.7 MenoMinds may transfer or assign its rights and obligations under these Terms where reasonably necessary in connection with the operation, restructuring or transfer of the business.

9.8 These Terms, together with the Privacy Policy, Community Guidelines, Medical Disclaimer, Refund & Cancellation Policy and Website Disclaimer, constitute the entire agreement between you and MenoMinds and supersede any previous agreements, representations or understandings relating to your Membership.

9.9 Nothing in these Terms shall create any partnership, joint venture, employment relationship or agency between you and MenoMinds.

9.10 A person who is not a party to these Terms shall have no rights to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

9.11 These Terms and any dispute or claim arising out of or in connection with them shall be governed by the laws of England and Wales.

9.12 The courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms.

9. General Legal Terms

9.1 MenoMinds reserves the right to amend these Terms from time to time where reasonably necessary to reflect changes in the law, regulatory requirements, business operations, membership services or the operation of the Community.

9.2 Where any material changes are made to these Terms, Members will be given reasonable notice before the revised Terms take effect. The latest version will always be available on the MenoMinds Website.

9.3 By continuing your Membership after any revised Terms come into effect, you agree to be bound by the updated Terms.

9.4 MenoMinds may amend, suspend, replace, withdraw or discontinue any part of the Services, Community features, events, resources or Membership benefits where reasonably necessary for operational, legal or business reasons. Where reasonably practicable, Members will be given advance notice of significant changes.

9.5 MenoMinds shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond its reasonable control, including but not limited to:

• Natural disasters.

• Flood, fire or severe weather.

• Epidemics or pandemics.

• Government action or changes in legislation.

• Industrial disputes.

• Failure of telecommunications or internet services.

• Power failures.

• Cyber attacks.

• Failure of third-party service providers.

• Any other event beyond our reasonable control.

9.6 If any provision of these Terms is found by a court or competent authority to be unlawful, invalid or unenforceable, that provision shall be deemed severed from these Terms to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

9.7 Any delay or failure by MenoMinds to exercise any right or remedy under these Terms shall not constitute a waiver of that right or remedy, nor prevent us from exercising that or any other right or remedy at a later date.

9.8 You may not assign, transfer, licence or otherwise dispose of your Membership or any of your rights or obligations under these Terms without the prior written consent of MenoMinds.

9.9 MenoMinds may assign or transfer its rights and obligations under these Terms where reasonably necessary in connection with the operation, restructuring, sale or transfer of the business.

9.10 These Terms, together with the Privacy Policy, Community Guidelines, Medical Disclaimer, Refund & Cancellation Policy and Website Disclaimer, constitute the entire agreement between you and MenoMinds and supersede any previous agreements, understandings, representations or communications relating to your Membership.

9.11 Nothing contained within these Terms shall create or be deemed to create any partnership, joint venture, employment relationship or agency between you and MenoMinds.

9.12 No person who is not a party to these Terms shall have any right to enforce any provision of these Terms under the Contracts (Rights of Third Parties) Act 1999.

9.13 MenoMinds may communicate with you electronically in relation to your Membership, including by email or by notices published within the Community. You agree that such electronic communications satisfy any legal requirement for communications to be in writing.

9.14 These Terms and any dispute or claim arising out of or in connection with them, their subject matter or their formation shall be governed by the laws of England and Wales.

9.15 The courts of England and Wales shall have exclusive jurisdiction to determine any dispute arising out of or in connection with these Terms.
